Terms of Service

Last updated: September 2026 www.incubate-iq.com

These Terms of Service ("Terms") govern your access to and use of the websites, client portal, admin portal, WhatsApp assistant, and related services operated by Incubate-IQ ("Incubate-IQ," "we," "our," or "us"), located at www.incubate-iq.com and app.incubate-iq.com (collectively, the "Services"). By accessing or using the Services, you ("you," "your," or "Client") agree to be bound by these Terms. If you do not agree, do not use the Services.

These Terms are incorporated by reference into, and should be read together with, our Privacy Policy, which describes how we collect, use, and protect information in connection with the Services.

1 Description of Services

Incubate-IQ provides a platform that helps entrepreneurs and businesses form, operate, and maintain compliance for U.S. business entities (including LLCs and corporations), including services such as entity formation, registered agent coordination, EIN and banking assistance, compliance tracking (annual reports, BOI filings, and similar obligations), a client portal for document and financial visibility, an AI-assisted WhatsApp and portal messaging agent, and integrations with third-party accounting and communication platforms (collectively, the "Platform"). Specific service packages, deliverables, and pricing are described separately in your engagement agreement, order form, or the Platform itself, and form part of these Terms.

2 Accounts and Eligibility

To use certain parts of the Services, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account. You represent that you have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

3 Fees and Payment

Fees for the Services are set out in your order form, invoice, or the pricing published on our Site, and are due as specified there. Unless stated otherwise, fees are non-refundable once the corresponding service has been initiated (for example, once a formation filing has been submitted to a state agency). We may suspend or restrict access to the Services for accounts with unpaid or overdue balances after reasonable notice. We may change our fees prospectively for future billing periods or new services, with notice provided through the Services or by email.

4 Third-Party Integrations

The Platform may connect to, or allow you to connect, third-party services you choose to authorize, including accounting platforms such as Intuit QuickBooks Online, communication providers such as Twilio (for WhatsApp/SMS/voice), and calendar/email providers such as Google. When you authorize such a connection, you permit Incubate-IQ to access, retrieve, and process data made available through that third party's API (for example, financial reports from QuickBooks Online) solely to provide the Services to you, such as displaying reports in your client portal or preparing communications for your review. These integrations are governed by both these Terms and the applicable third party's own terms of service; we do not control and are not responsible for the availability, accuracy, or practices of third-party platforms. You may disconnect a third-party integration at any time through the Platform or by contacting us, and we will honor that request as soon as reasonably practicable.

Where we generate a report, communication, or document by drawing on data from a connected third-party integration, the underlying figures are sourced directly from that provider at the time of use — we do not independently verify or guarantee the accuracy of data originating from a third-party platform.

5 No Legal, Tax, or Accounting Advice

Incubate-IQ is not a law firm, accounting firm, or registered tax advisor, and nothing in the Services constitutes legal, tax, or accounting advice. Information, summaries, reports, or communications provided through the Platform (including those generated with the assistance of automated or AI-based tools) are provided for general informational and operational convenience only. You should consult a qualified attorney, accountant, or tax professional regarding your specific circumstances before making decisions based on such information.

6 Client Responsibilities

You are responsible for providing accurate, complete, and timely information necessary for us to perform the Services, including information required for entity formation, compliance filings, banking applications, and any third-party integration you authorize. You are responsible for reviewing communications, reports, and filings we prepare or send on your behalf before relying on them, and for maintaining your own copies of records as required by law. We are not responsible for delays, penalties, or errors resulting from inaccurate, incomplete, or untimely information you provide.

7 Intellectual Property

The Platform, including its software, design, trademarks (including "Incubate IQ™" and "AI Stack for Business™"), and content, is owned by Incubate-IQ or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your own internal business purposes during your engagement with us. You may not copy, modify, reverse-engineer, resell, or create derivative works from the Platform except as expressly permitted.

8 Disclaimers and Limitation of Liability

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or that any government agency, bank, or third-party platform will act within any particular timeframe.

To the maximum extent permitted by law, Incubate-IQ and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Services. Our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the amount you paid to us for the specific service giving rise to the claim in the twelve (12) months preceding the event.

9 Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services if you breach these Terms, fail to pay outstanding fees after notice, or if we reasonably believe your use poses a legal, security, or operational risk to us or others. Provisions of these Terms that by their nature should survive termination (including Sections 3, 7, 8, and 10) will survive.

10 Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.

11 Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Services or by email, and will indicate the date of the most recent revision at the top of this page. Your continued use of the Services after a revised version is posted constitutes your acceptance of the updated Terms.
